Terms of Service

These Terms of Service govern purchases, bookings, rentals, and services provided by VSF Event Production (“VSFep,” “we,” “us,” or “our”). By making a payment, placing an order, booking services, or renting equipment from VSFep, you agree to these terms.
1. Services
VSFep provides event production services, including sound, lighting, video, staging, rigging, special effects, technical labor, entertainment support, equipment rentals, and related products or services.
The exact services, equipment, schedule, venue, price, and payment terms will be stated in the applicable estimate, invoice, rental agreement, or written contract.
2. Payments and Deposits
Payments must be made according to the schedule shown on the invoice or agreement.
Deposits and booking payments are non-refundable, unless otherwise stated in writing by VSFep. A date is not considered reserved until the required deposit has been received.
Any unpaid balance must be paid by the stated due date. VSFep may suspend or cancel services when payment is overdue.
3. Cancellations and Refunds
All sales are final. VSFep does not provide returns, exchanges, or refunds for completed services, deposits, custom orders, special-order products, or unused rental time.
Client cancellations do not automatically qualify for a refund. Any approved credit, refund, postponement, or transfer of payment must be confirmed in writing by VSFep.
Nothing in these terms limits any refund or cancellation right that cannot legally be waived.
4. Changes to an Event
Changes involving the event date, time, venue, equipment, staffing, setup, production requirements, or scope of work may result in additional charges.
Requested changes are not effective until accepted by VSFep in writing.
5. Equipment Rentals
Rental equipment remains the property of VSFep unless it is expressly sold to the customer.
The customer is responsible for rented equipment from delivery or pickup until it is returned and accepted by VSFep. The customer may be charged for loss, theft, damage, misuse, missing accessories, excessive cleaning, or late return.
Normal wear and tear is excluded.
6. Venue Access and Conditions
The client is responsible for providing safe and timely access to the venue, adequate electrical service, required permits, loading access, parking, security, and any venue approvals needed for the contracted production.
Additional labor, waiting time, parking, tolls, permits, power distribution, or venue-imposed costs may be billed separately unless included in writing.
7. Safety
VSFep may stop, modify, delay, or refuse any activity that it reasonably determines to be unsafe, unlawful, technically unsuitable, or likely to damage equipment or property.
Clients, guests, performers, venue personnel, and other vendors must not operate or move VSFep equipment without authorization.
8. Delays and Events Beyond Our Control
VSFep is not responsible for delay or nonperformance caused by circumstances beyond its reasonable control, including severe weather, venue restrictions, utility failures, government actions, transportation disruptions, labor shortages, emergencies, or unsafe conditions.
When reasonably possible, VSFep may offer rescheduling, replacement equipment, substitute personnel, or another practical remedy. Such remedies are not guaranteed unless required by law or stated in a written agreement.
9. Limitation of Liability
To the maximum extent permitted by law, VSFep’s total liability relating to a specific booking, rental, order, or service will not exceed the amount paid to VSFep for that transaction.
VSFep will not be responsible for indirect, incidental, special, or consequential losses, including lost profits, lost attendance, reputational harm, or losses caused by third parties.
10. Customer Information
The customer agrees to provide complete and accurate contact, billing, venue, and event information.
Personal information will be used for payment processing, communication, order fulfillment, event coordination, fraud prevention, and other legitimate business purposes.
11. Website and Intellectual Property
VSFep’s business name, logos, photographs, videos, designs, written materials, and website content may not be copied, sold, republished, or used commercially without written authorization.
12. Governing Law
These terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.
Any dispute will be handled in a court with lawful jurisdiction over the parties and subject matter, unless a separate written contract establishes another dispute-resolution procedure.
13. Changes to These Terms
VSFep may update these Terms of Service from time to time. Updated terms apply to future transactions after publication. Terms governing an existing signed booking or agreement will not be materially changed retroactively without the parties’ consent.
